ByteMe Networks Software Licenses

ByteMe Networks, LLC (“BMN,” “we,” “us”) develops
software, scripts, automations, APIs, templates, installers, platforms, and related
tooling for our clients and the broader community. This page describes the license
categories that apply to BMN-authored software. If a specific BMN product, script,
automation, or platform references this page, the terms below govern your use of it.

If a separate written agreement between you and BMN covers the same software, that
agreement controls where it conflicts with this page.

Important: This page applies only to BMN-authored software,
scripts, automations, APIs, templates, installers, and platforms. It does not replace
or modify ByteMe Networks VoIP, telecom, SIP trunking, hosted PBX, internet, managed
services, support, or service Terms of Service. Those services are governed by
separate service agreements, proposals, order forms, or Terms of Service.

BMN Community Use License

Version 1.0

This license applies to BMN software marked as released under the
“BMN Community Use License.” It allows free use in personal,
educational, lab, and other non-commercial settings, subject to the limits below.

What you can do

You may use, run, study, and modify the software for:

  • Personal use — running it on your own computers or home network.
  • Educational use — coursework, teaching, research, student projects, or self-directed learning.
  • Lab and testing use — homelabs, proof-of-concept work, evaluation environments, and internal testing.
  • Non-commercial use — any use that is not part of a business, paid service, client engagement, or revenue-generating operation.

You may share the unmodified software with other individuals for the same
non-commercial purposes, provided all BMN copyright notices, license headers,
and attribution remain intact.

What you cannot do without written permission

Without a separate written agreement with BMN, you may not:

  • Use the software to provide paid services to third parties, including managed services, consulting deliverables, hosted services, or SaaS offerings.
  • Deploy the software into a client or customer production environment.
  • Bundle the software into a commercial product, toolkit, installer, service package, or distribution.
  • Remove, alter, or obscure BMN copyright notices, license headers, or attribution.
  • Re-license, sublicense, resell, rent, lease, or redistribute the software under different terms.
  • Use BMN’s name, logo, brand, or trademarks to promote a modified version without written permission.

Commercial use

Commercial use requires written permission from BMN. To request commercial use,
contact [email protected].

Contributions

If you send BMN patches, improvements, bug fixes, ideas, or suggestions, you grant
BMN a non-exclusive, royalty-free, perpetual right to use them in BMN software,
including commercial versions. You keep the copyright to your own contributions.

No warranty

The software is provided “as is,” without warranty of any kind. BMN is not
responsible for data loss, downtime, service interruption, security incidents, lost
revenue, or damages arising from your use of the software. You use it at your own risk.

Termination

If you materially violate this license, your rights under it end automatically. You
must stop using the software and remove your copies. BMN may reinstate your rights in
writing after the violation is cured.

Governing law

This license is governed by the laws of the State of Texas, without regard to its
conflict-of-laws rules. Venue for any dispute lies in McLennan County, Texas.

BMN Commercial Client License

Version 1.0

This license applies to BMN software, scripts, automations, workflows, APIs,
templates, and tooling delivered to a paying BMN client under a Master Services
Agreement, Statement of Work, proposal, order form, or similar written agreement
(“Client Agreement”).

Who this applies to

You are the organization named in the Client Agreement. This license applies to BMN
software referenced in that agreement or in a script, automation, flow, installer,
repository, or product notice pointing to this page.

What you can do

While your Client Agreement with BMN is active and in good standing, you may:

  • Run the software inside your own licensed environment for your own internal business operations.
  • Configure and customize permitted settings, parameters, environment variables, and non-core configuration files for your environment.
  • Make reasonable copies for backup, disaster recovery, staging, testing, and continuity purposes.
  • Allow your employees and contractors to use it on your behalf, provided they are bound by confidentiality obligations at least as strict as those in your Client Agreement.

What you cannot do without written permission

You may not, without BMN’s prior written permission:

  • Transfer the software to another MSP, IT provider, consultant, or service vendor.
  • Resell, sublicense, rent, lease, publish, or redistribute the software to any third party.
  • Use the software to provide services to third parties, including as a managed service, hosted offering, or commercial toolkit.
  • Remove or alter BMN copyright notices, license headers, attribution, or in-product notices.
  • Reverse-engineer, decompile, or extract BMN-authored logic for the purpose of building a competing product or service, except to the extent this restriction is prohibited by applicable law.
  • Use the software after your Client Agreement ends, except during a written transition or wind-down period approved by BMN.

Ownership

BMN retains ownership of BMN-authored software, frameworks, libraries, reusable
components, templates, automations, scripts, and improvements. Configurations, data,
credentials, records, and content supplied by the client remain the client’s
property. If BMN creates a specific deliverable under a Statement of Work, ownership
of that deliverable is governed by the applicable SOW.

Wind-down

When your Client Agreement ends, your license to use BMN-authored software ends on
the termination effective date unless otherwise stated in writing. On request, BMN
will work with you in good faith on a reasonable transition period, typically 30 to
90 days, so you can migrate away from BMN-controlled tooling without unnecessary
disruption. You agree to remove and stop using BMN-authored software at the end of
the approved transition period.

Confidentiality

BMN-authored software, including source code, structure, automation logic, operational
patterns, and implementation methods, is BMN confidential information unless BMN has
publicly released it under another license. You must protect it with at least the same
care you use to protect your own sensitive business information.

No warranty beyond the Client Agreement

Warranty, support, maintenance, service levels, and liability terms are governed by
your Client Agreement with BMN. Where the Client Agreement is silent, the software is
provided “as is.”

Governing law

This license is governed by the laws of the State of Texas, without regard to its
conflict-of-laws rules. Venue for any dispute lies in McLennan County, Texas, unless
your Client Agreement says otherwise.

BMN Internal Tooling License

Version 1.0

This license applies to software, scripts, automations, workflows, APIs, installers,
and tools marked as BMN Internal Tooling. These tools are for BMN’s own
operations and are not licensed to clients, vendors, competitors, or third parties
unless BMN expressly says otherwise in writing.

Who this applies to

This license applies to BMN employees, contractors, subcontractors, and authorized
agents operating on BMN’s behalf.

What you can do

  • Use the tooling to perform authorized BMN work during the term of your employment, contract, or engagement with BMN.
  • Modify, improve, or extend the tooling subject to BMN’s internal change-control and security practices.
  • Share the tooling with other authorized BMN personnel who need it for BMN work.

What you cannot do

  • Share, copy, publish, sell, or distribute the tooling outside BMN without written permission.
  • Take a copy with you when your employment, contract, or engagement with BMN ends.
  • Use the tooling for personal, side-business, competitor, or non-BMN purposes.
  • Deploy the tooling into a client environment unless the engagement is covered by a Client Agreement and the tooling has been approved for client use.
  • Remove, alter, or obscure BMN copyright notices, license headers, attribution, or in-product notices.

Return and deletion on separation

When your engagement with BMN ends, you must return or securely delete all copies of
BMN Internal Tooling, including derivative work product, notes, snippets, and local
copies, except for records you are legally required to retain. BMN may request written
confirmation of deletion.

Confidentiality

BMN Internal Tooling is confidential. This obligation continues after separation from
BMN.

No warranty

The tooling is provided “as is” for authorized internal use. BMN makes no
warranty, internal or external.

Governing law

This license is governed by the laws of the State of Texas.

BMN Auction Platform Non-Commercial License

Version 1.0

This license applies specifically to designated non-commercial or community editions
of the ByteMe Networks Silent Auction Platform and related BMN-authored components
(“Auction Platform”). It permits qualifying non-commercial use and requires
a separate commercial license for revenue-generating platform operation, resale, or
hosted service use.

What counts as non-commercial use

Use is “non-commercial” when all of the following are true:

  • The organization running the Auction Platform is a non-profit, charitable, educational, religious, civic, or similar mission-driven organization, or an individual running a personal or household event.
  • Proceeds from auctions run on the platform are used to fund the organization’s mission, a specific charitable cause, or personal or household purposes.
  • The operator of the platform is not charging third parties a fee to run auctions on it as a service.
  • The platform is not being operated as a for-profit auction-hosting business, SaaS platform, white-label service, or commercial event management product.

Charging small, reasonable transaction or processing fees to recover actual
out-of-pocket costs, such as payment processing fees, SMS costs, or hosting costs, is
allowed. Profiting from operating the platform as a service is not allowed without a
commercial license.

What you can do for non-commercial use

  • Download, install, and self-host the Auction Platform for qualifying non-commercial events.
  • Configure it for your organization, including branding, sponsor tiers, payment processor selection, SMS settings, event data, users, guests, and auction items.
  • Make reasonable modifications for your own qualifying deployment.
  • Share the unmodified platform with other qualifying non-commercial organizations, provided this license and all BMN notices remain intact.

What requires a separate commercial license

  • Operate the Auction Platform as a for-profit service for third-party organizations.
  • Bundle, resell, host, or white-label the Auction Platform as part of a commercial product or SaaS offering.
  • Use the Auction Platform for paid event management services.
  • Remove or replace BMN branding, license notices, attribution, or headers where the software requires them.
  • Use BMN’s trademarks to promote a modified version.

Contributions

Patches, fixes, feature contributions, ideas, or suggestions submitted to BMN are
licensed back to BMN under a non-exclusive, royalty-free, perpetual right to use them,
including in commercial versions. Contributors retain copyright to their own
contributions.

Third-party components

The Auction Platform may include or depend on third-party open-source and commercial
components that are subject to their own licenses. A list of those components and
their license terms may be distributed with the software in a file such as
THIRD-PARTY-NOTICES.md, NOTICE, or similar documentation.
Nothing in this license overrides those third-party licenses.

No warranty

The Auction Platform is provided “as is,” without warranty of any kind.
BMN is not responsible for lost auction proceeds, event disruption, payment processor
issues, SMS delivery failures, hosting issues, data loss, legal compliance issues, or
damages arising from your use of the platform. You are responsible for complying with
applicable laws and regulations for charitable auctions, fundraising, taxes, SMS
messaging, payment processing, privacy, and data security in your jurisdiction.

Termination

Material violation of this license ends your rights automatically. You must stop
running the platform and remove your copies of BMN-authored components, except for
records or backups you are legally required to retain.
